1. Definitions
1.1 “Frank,” “we,” “us,” or “our” means 18009619 Canada Inc., operating as Frank ("Frank", "we", "us").
1.2 “you” or “your” means the individual using the platform.
1.3 “platform” means Frank’s website, browser extension, and related services.
1.4 “dealer” means a motor vehicle dealer registered with OMVIC or an equivalent provincial regulator that participates on Frank.
1.5 “lender” means a financial institution or lending partner that receives pre-approval requests through Frank.
1.6 “content” means anything you submit, upload, or post through the platform, including photos, lease documents, and messages.
2. Acceptance of these terms
2.1 These Terms of Service are an agreement between you and 18009619 Canada Inc., operating as Frank ("Frank", "we", "us"). By accessing or using Frank, you agree to these terms and our Privacy Policy.
2.2 If you do not agree, do not use the platform.
2.3 If you’re using Frank on behalf of someone else or a business (for example, listing a lease for another lessee with their authorization), you represent that you have the authority to do so and to bind them to the relevant parts of these terms.
3. Eligibility
3.1 You must be at least the age of majority in your province or territory and a resident of Canada to use Frank.
3.2 You agree to provide accurate information and to keep it up to date.
3.3 Your account is personal to you. You won’t share your credentials or let someone else use your account.
4. What Frank is — and isn’t
4.1 Frank is a technology platform that helps you compare vehicles, see estimated payments and incentives, value a trade-in, and connect with dealers and lenders.
4.2 Frank is not a lender, dealer, insurer, or broker-of-record.
4.3 Nothing on the platform is an offer of credit, an appraisal you can rely on as a guaranteed value, or financial, legal, or tax advice.
4.4 Final terms always come from the dealer, lender, or insurer you choose to deal with — Frank doesn’t set or guarantee them.
5. Your account
5.1 You are responsible for activity under your account and for keeping your verified phone number and credentials secure.
5.2 Tell us promptly if you suspect unauthorized use of your account.
5.3 We may ask you to re-verify your identity or phone number where we reasonably believe it’s necessary to protect your account or the platform.
6. Acceptable use
6.1 Using Frank means agreeing to our Acceptable Use Policy, which covers what you can and can’t do on the platform. It’s incorporated into these terms by reference.
6.2 A violation of the Acceptable Use Policy is a breach of these terms.
7. Pricing, estimates, and pre-approvals
7.1 Payments, incentives, fair-price reads, and trade-in values shown on Frank are estimates for comparison purposes and may differ from a dealer’s or lender’s actual offer.
7.2 Any pre-approval is conditional and subject to the lender’s verification, terms, and final approval.
7.3 We do not guarantee any rate, payment, approval, or vehicle availability.
8. Third-party services
8.1 Frank integrates third-party services (for example, identity verification, bank linking, payments, and lender routing) and may link to third-party sites.
8.2 Your use of those services is governed by their own terms, and we are not responsible for them.

9. Lease-transfer board
9.1 If you list or take over a lease through Frank’s lease-transfer board, the Lease-Takeover Listing Terms apply in addition to these terms.
9.2 Frank is the listing and matching interface only — the actual lease assignment is approved and run by the leasing company/OEM and the dealer.
10. Intellectual property
10.1 Frank and its content, software, and trademarks are owned by 18009619 Canada Inc. or its licensors.
10.2 We grant you a limited, non-exclusive, non-transferable right to use the platform for its intended purpose.
10.3 You may not copy, modify, or create derivative works from the platform except as permitted by law.
11. Copyright and content complaints
11.1 If you believe content on Frank — including something another user uploaded, like a trade-in photo or lease document — infringes your copyright or other rights, contact privacy@drivefrank.ca or call 647-360-8580 with a description of the content, where it appears, and your contact information.
11.2 We will review the report and remove infringing content where appropriate.
12. Fees
12.1 The consumer tools are free to use.
12.2 Where a specific transaction involves a deposit or fee, we’ll disclose it before you commit.
13. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR ENTIRELY SECURE.
14. Limitation of liability
14.1 To the fullest extent permitted by law, Frank will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a dealer, lender, or insurer transaction.
14.2 Our total liability for any claim relating to the platform is limited to the greater of the amount you paid us in the twelve months before the claim or CAD $100.
14.3 Nothing in this section limits liability that can’t be limited under applicable law, including liability for fraud or wilful misconduct.
15. Indemnification
You agree to indemnify and hold Frank harmless from claims and costs arising out of your use of the platform or your breach of these terms.
16. Termination
16.1 You may stop using Frank at any time.
16.2 We may suspend or terminate your access if you violate these terms or our Acceptable Use Policy, or to protect the platform and its users.
16.3 How we handle your information after your account is closed is described in our Privacy Policy.
17. Force majeure
We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including an outage at a service provider we rely on, a natural disaster, or government action.
18. Assignment
You may not assign or transfer your account or these terms without our consent. We may assign these terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
19. Severability
If any provision of these terms is found unenforceable, the rest remain in full force, and the unenforceable provision will be interpreted to best reflect its original intent.
20. Entire agreement
These terms, together with the documents they reference — our Privacy Policy, Acceptable Use Policy, Cookie Declaration, and, where applicable, the Lease-Takeover Listing Terms — are the entire agreement between you and Frank about your use of the platform, and supersede any prior agreement on the same subject.
21. Governing law and dispute resolution
21.1 These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
21.2 We’ll both try to resolve any dispute informally first. The courts located in Ontario have exclusive jurisdiction otherwise, subject to any non-waivable rights you have under consumer-protection law.
22. Notices
We may give you notice under these terms by posting it on the platform, emailing the address on your account, or texting the phone number on your account. Keep your contact information current so notices reach you.
23. Changes to these terms
We may update these terms from time to time. Material changes will be posted here with an updated date; continued use after changes means you accept them.
